The permanent representative office of a foreign company refers to a non-profit activity office established by a foreign company in China and engaged in the business of the foreign company. The resident representative office of a foreign company does not have legal personality.

1.Foreign representative offices are not allowed to engage in profit-making activities

2.Can engage in the following activities related to the business of foreign companies:

A.Market research, display, and publicity activities related to products or services of foreign company

B.Liaison activities related to product sales, service provision, domestic procurement, and domestic investment of foreign companies

3.Foreign representative offices may not apply for import and export rights and engage in self-support import and export activities.

Foreign company representative office registration conditions

The materials to be submitted by the representative office of a foreign company in Beijing

1.The legal opening certificate issued by the registration authority of the country where the foreign enterprise is located for more than two years shall be certified by the notary public of the country and legalized by the Chinese Embassy or Consulate in that country.

2.A credit letter issued by a financial institution that has business with the foreign company, and is required to be notarized by the notary public of the country and legalized by the Chinese Embassy or Consulate in that country.

3.The charter or organization agreement of the foreign company and the authorization letter of the authorized signatory. The documents shall be certified by the notary public of the country and legalized by the Chinese Embassy or Consulate in the country.

4.Proof of identity, resume and photo of the chief representative and representatives, appointment letter of the chief representative.

5.Proof of legal use of the representative office at the place (copy of house rental contract, real estate certificate, etc.)

Qualifications of representatives of foreign representative offices

1.A foreign enterprise shall appoint a chief representative who, within the written authorization of the foreign enterprise, may sign a representative office registration application document on behalf of the foreign enterprise.

2.A person who is locked into the "warning information system" of the Beijing Credit Information System cannot be the chief representative or representative of the resident representative office of a foreign enterprise during the lock-in period. (The chief representative or representative of the representative office that has been revoked by law to register, registration certificate or have been ordered to close by the relevant department in accordance with the law, has not been more than 5 years since the date of being revoked, or ordered to close)

3.If the Chinese citizen is the chief representative or representative, a dispatch letter from the foreign affairs service unit shall be submitted.

4.The representative of the representative office (including the chief representative) must not exceed four people.
